Terms of Service

These Terms of Service ("Terms") govern your use of the MedLicensIQ website, application, and related services (collectively, the "Service"), provided by MedLicensIQ, Inc. ("MedLicensIQ," "we," "us"). By creating an account or using the Service you agree to these Terms.

1. Your account

You must be at least 18 years old and a licensed medical professional (or in active training toward licensure) to use the Service. You are responsible for keeping your account credentials secure and for all activity under your account.

2. Acceptable use

You agree not to:

• Use the Service to violate any law or any state medical board's rules.
• Upload another person's protected health information (PHI). The Service is built for your licensure data, not your patients'.
• Share your account credentials with others, or impersonate another physician.
• Probe, scan, or attempt to compromise the Service's security.
• Use automated means to scrape MedLicensIQ data beyond the export features we provide.
• Resell access to the Service without a written agreement with MedLicensIQ.

3. AI and decision support

The Service uses AI to generate renewal checklists, draft emails, summarize state-board news, and answer questions in Consult chat. AI output:

• Is generated probabilistically and may contain errors.
• Is decision support only — never a substitute for primary-source verification or professional judgment.
• May reference rules, fees, or dates that have changed since publication.

Before submitting any license renewal, attestation, or board communication, you must verify the underlying facts against the relevant state medical board.

4. Subscription and billing

• Paid plans renew automatically until cancelled. You can cancel anytime from the Customer Portal.
• Fees are billed in advance and are non-refundable except where required by law. We may refund pro-rata as a goodwill gesture; this is not an entitlement.
• Payment is processed by Stripe under their terms.
• If your payment fails, we will pause access until the issue is resolved. We will not delete your data during a billing dispute.

5. Free trial

We may offer a free trial period. Trials convert to a paid subscription at the end of the trial unless you cancel. You may cancel during the trial at any time without charge.

6. Cancellation, refund, and termination

You may cancel your subscription at any time. After cancellation, you retain access through the end of the current billing period. We may suspend or terminate your account if you violate these Terms, if required by law, or if continued service would expose us or another user to harm.

7. Data and export

You own your data. The Service provides CSV export of your licenses, CME, and documents at any time. Upon account deletion, we permanently delete your data within 30 days, except where law requires retention.

8. Intellectual property

MedLicensIQ retains all rights to the Service, including its software, branding, and documentation. You retain all rights to the data you upload. By using the Service, you grant us a limited license to process your data solely to provide the Service.

9. Service availability

We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance, change features, or discontinue features with reasonable notice.

10. Warranties

The Service is provided "as is" without warranties of any kind, express or implied, including (but not limited to) warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

11. Limitation of liability

To the maximum extent permitted by law, MedLicensIQ's total liability for any claim arising out of or related to the Service is limited to the greater of (a) the amount you paid for the Service in the 12 months preceding the claim or (b) $100. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or licensure outcomes (e.g., a missed renewal deadline).

12. Indemnification

You will indemnify and hold harmless MedLicensIQ from claims arising out of your violation of these Terms or your misuse of the Service.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Disputes will be resolved exclusively in the state or federal courts of New Castle County, Delaware.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced by email and an in-app notice at least 30 days before taking effect. Continued use of the Service after the effective date constitutes acceptance.
